THE YUMIMUMI Wellness Partners Program Agreement Affiliate Terms and Conditions Last Updated: January 23, 2026

This Affiliate Program Agreement (the "Agreement") is entered into by and between THE YUMIMUMI Inc. (or the legal entity operating the brand, "THE YUMIMUMI", "we", "us", or "our") and you ("Affiliate", "you", or "your"). By applying to or participating in the THE YUMIMUMI Wellness Partners Program (the "Program"), you agree to be bound by these Terms and Conditions.

1. Enrollment and Acceptance

1.1 To participate, you must submit a complete application via our Program portal on the website. 1.2 We review applications at our sole discretion and may accept or reject any application without explanation. 1.3 Approval is not guaranteed and may be revoked at any time if you violate this Agreement. 1.4 You must be at least 18 years of age (or the age of majority in your jurisdiction) to participate.

2. Affiliate Obligations

2.1 You will promote THE YUMIMUMI HALO & MYLK products using only approved affiliate links. 2.2 If you promote with paid ads you must have your ad approved by Lori Hailstone and you will be placing the ad at your own expense, you must clearly and conspicuously disclose your material connection to THE YUMIMUMI in every promotion that includes an affiliate link or mention of our products. Example disclosures include:

• "#ad" or "#affiliate"

• "This post contains affiliate links – I may earn a commission if you make a purchase"

• "As an affiliate of THE YUMIMUMI, I earn from qualifying purchases" Disclosures must appear immediately adjacent to (or within) the affiliate link/content and comply with FTC Guidelines (and equivalent Canadian laws). 2.3 You will not make any health, medical, or therapeutic claims about our products beyond those explicitly approved in our marketing materials. Firm & unauthorized claims (e.g., "cures acne," "treats eczema," "prevents disease") are strictly prohibited.  You can indicate your personal positive experience or results with the products but you can not state that it will "cure, heal or resolve" any health issues for others.  2.4 You will not bid on THE YUMIMUMI brand terms (including misspellings) in paid search, display, or social ads. 2.5 You will not use our trademarks, logos, or product images in a way that implies endorsement by us beyond the scope of this Program. 2.6 You will not engage in spam, incentivized traffic, cookie stuffing, self-referrals, or any fraudulent activity. 2.7 You will not promote our products on websites or channels that contain illegal, adult, discriminatory, or offensive content.

 

3. Commissions and Payments

3.1 You earn commissions only on "Qualifying Sales" — net sales (shipping, discounts, returns, chargebacks, and fraud) made by customers who arrive via your unique tracked affiliate link and complete a purchase within the 90-day cookie window.

3.2 Commission rates:

• Standard rate: 25%

• High-volume bonus (50+ qualifying sales in a calendar month): additional 5% (total 30%)

• 3.3 Commissions are calculated on the product subtotal after applied discounts/coupons (excluding your own affiliate coupon if used). 3.4 Self-purchases, purchases for household/family members, or purchases made using your own affiliate link do not qualify for commission. 3.5 Payouts are processed monthly (net 30) once your balance reaches the minimum threshold of CAD $50. 3.6 Payments are made via e-transfer, or the method supported by our affiliate platform. You are responsible for any transaction fees and for reporting and paying all applicable taxes. 3.7 We reserve the right to delay, withhold, or reverse commissions for suspected fraud, returns, or policy violations.

 

4. Intellectual Property and License

4.1 We grant you a limited, non-exclusive, non-transferable, revocable license to use Approved Materials solely for the purpose of promoting HerbEssence products under this Agreement. 4.2 You may not modify Approved Materials without our written permission. 4.3 All trademarks, copyrights, and other intellectual property remain our exclusive property.

 

5. Term and Termination

5.1 This Agreement begins upon your acceptance into the Program and continues until terminated. 5.2 Either party may terminate at any time with or without cause by providing written notice (email is sufficient). 5.3 We may immediately suspend or terminate your account (and forfeit unpaid commissions) if you violate any provision of this Agreement, engage in prohibited conduct, or if we reasonably believe your promotion harms our brand or reputation. 5.4 Upon termination, you must immediately cease using Approved Materials and remove all affiliate links/banners from your channels. You will be paid any undisputed commissions earned up to the termination date (subject to returns/chargebacks).

 

6. Representations and Warranties; Indemnification

6.1 You represent and warrant that: (a) you have the right and authority to enter this Agreement; (b) your participation and promotions comply with all applicable laws (including advertising, privacy, and consumer protection laws); and (c) you will not make false, negative or misleading statements about our products. 6.2 You agree to indemnify, defend, and hold harmless THE YUMIMUMI, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of this Agreement, your promotions, or your failure to make required disclosures.

 

7. Limitation of Liability

7.1 To the maximum extent permitted by law, THE YUMIMUMI shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of this Agreement. 7.2 Our total liability shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim.

 

8. Governing Law and Dispute Resolution

8.1 This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. 8.2 Any disputes shall be resolved exclusively in the courts located in Mississauga, Ontario.

 

9. Miscellaneous

9.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements. 9.2 We may update these Terms at any time by posting the revised version on our website or Program portal. Continued participation constitutes acceptance of changes. 9.3 You are an independent contractor; nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship. 9.4 If any provision is held invalid, the remainder remains in full force.

By participating in the Program, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
